Conflict of interest is a situation where personal interests conflict with the impartial and non-discriminatory performance of professional duties and legal powers of individuals, and the existence of a conflict of interest can prevent organizations from achieving their goals. The reports of the relevant organization and the data obtained from the interviews with the activists of the country's technical and executive system indicate the existence of severe situations of conflict of interest on the part of the consulting engineers in providing services, so that the program and budget organization, through a circular, established a framework for management Conflict of interest and prevention of collusion in referral work has been notified to the consultants. This research has presented a theoretical model of factors affecting the management of conflict of interests in consulting engineering companies active in the country's technical and executive system projects, and based on foundation data theory and by conducting 24 semi-structured interviews and after reaching theoretical saturation, with Data analysis has been done through three stages of open, central and selective coding, during which the main and sub-categories have been identified and linked to each other, and finally a theoretical model has been presented.
